Terms & Conditions

1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Ondura" / "we" / "us" / "our" refers to Ondura, a business consulting practice operating from 12/F, 88 Queensway, Admiralty, Hong Kong.
  • "Client" / "you" refers to any individual or organisation that engages our services or uses our website.
  • "Services" refers to business consulting engagements offered by Ondura, including the Strategic Direction Workshop, Operational Efficiency Review, and Market Entry Advisory.
  • "Deliverables" refers to written documents, reports, roadmaps, and playbooks produced in the course of an engagement.
  • "Agreement" refers to these Terms and Conditions together with any engagement proposal accepted by the Client.
  • "Website" refers to the Ondura website at https://{{DOMAIN_NAME}}.

2. Acceptance of Terms

By using our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into an engagement on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.

Use of our Website and Services is available to individuals aged 18 and over with the legal capacity to enter into binding agreements.

3. Services

Ondura provides professional business consulting services to organisations in Hong Kong and the Greater Bay Area. The specific scope, duration, deliverables, and fee for each engagement are set out in a written proposal accepted by the Client prior to commencement of work.

Services are subject to availability. Ondura reserves the right to decline an engagement request at its discretion.

4. Engagement Process

An engagement commences when both parties have agreed in writing to the proposal, including scope, timeline, deliverables, and fee. Any variation to the agreed scope must be discussed openly and, where material, recorded in a written amendment before additional work is undertaken.

5. Client Responsibilities

To enable effective delivery, Clients are expected to:

  • Provide accurate, complete, and timely information relevant to the engagement.
  • Make available appropriate personnel for interviews and review sessions as agreed.
  • Review and provide feedback on interim outputs within agreed timeframes.
  • Inform Ondura promptly of any material change in circumstances affecting the engagement.

Delays in receiving required information or access may affect the agreed timeline. Ondura will communicate any such impact promptly.

6. Fees and Payment

Fees are as quoted in the engagement proposal and are denominated in Hong Kong Dollars (HKD). The fee is fixed for the agreed scope and is payable in accordance with the payment schedule in the proposal.

Standard payment terms are 50% upon engagement commencement and 50% upon delivery of the final deliverable, unless otherwise agreed in writing. Payment is due within 14 days of invoice date.

Ondura reserves the right to suspend an engagement in the event of non-payment, and to charge reasonable interest on overdue amounts in accordance with Hong Kong law.

7. Intellectual Property

All Deliverables produced in the course of an engagement become the property of the Client upon full payment of the engagement fee. Ondura retains the right to use anonymised, non-attributable insights drawn from the engagement for the purposes of improving its services and general professional development.

The Client is granted a non-exclusive, non-transferable licence to use Ondura's methodologies and frameworks as embedded in Deliverables for internal business purposes only.

8. Confidentiality

Each party agrees to keep confidential all information received from the other party that is identified as confidential or that a reasonable person would understand to be confidential in the circumstances. This obligation survives termination of the Agreement for a period of three years.

A formal non-disclosure agreement is available and encouraged for engagements involving particularly sensitive commercial or strategic information.

9. Disclaimers

Ondura provides professional consulting services based on the information made available to us and the analysis we conduct. Our Deliverables represent our professional views and recommendations at the time of delivery and are based on the assumptions and information set out in the engagement. They do not constitute legal, financial, tax, or regulatory advice, and should not be relied upon as such.

Business outcomes depend on many factors outside our control. Ondura does not warrant any specific commercial result from acting on our recommendations.

10. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Ondura's total aggregate liability to the Client for any claim arising out of or in connection with an engagement shall not exceed the total fee paid by the Client for that engagement.

Ondura shall not be liable for any indirect, consequential, special, or punitive damages, loss of profits, loss of business, or loss of opportunity, even if advised of the possibility of such damages.

11. Termination

Either party may terminate an engagement by giving 14 days' written notice. In the event of termination by the Client, fees are payable for work completed up to the effective date of termination. In the event of termination by Ondura (for reasons other than Client default), fees will be refunded on a pro-rata basis for work not yet commenced.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region. The parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong in respect of any dispute arising out of or in connection with this Agreement.

Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from written notice of the dispute.

13. General Provisions

These Terms and Conditions, together with any accepted engagement proposal, constitute the entire Agreement between the parties and supersede all prior discussions, representations, and understandings. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. No waiver of any breach constitutes a waiver of any subsequent breach.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. Updated terms will be published on this page with a revised effective date. Continued use of our Website or engagement of our Services following an update constitutes acceptance of the revised terms.
